IMPORTANT: PLEASE READ THESE TERMS CAREFULLY. These Terms of Service ("Terms") form a legally binding agreement between you and Sunday HQ, Corp., a Delaware corporation ("Sunday," "we," "our," or "us"), governing your access to and use of the Sunday for Creators platform, websites, applications, artificial intelligence features, integrations and related services (collectively, the "Services"). By creating an account, accessing or using the Services, or clicking to accept these Terms, you agree to be bound by them and by our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of a company, agency or other organisation, you represent that you have authority to bind that organisation, and references to "you" include that organisation where applicable.

1. Who We Are

The Services are operated by Sunday HQ, Corp., a Delaware corporation, with a principal place of business at 1111B S Governors Ave # 93449, Dover, DE 19904, United States. Questions about these Terms may be sent to admin@withsunday.io.

2. Eligibility and Account Registration

You must be at least 18 years old and legally capable of entering into a binding contract to create or use a Sunday account. If applicable law requires a higher age, you must meet that requirement.

  • You must provide accurate, current and complete account information and keep it updated.
  • You are responsible for maintaining the confidentiality of your credentials and for activity that occurs under your account.
  • You must notify us promptly if you believe your account has been accessed without authorisation.
  • You may not create an account for another person without their permission or impersonate another person or organisation.

3. The Services

Sunday provides tools designed to help creators and creator businesses organise and operate the commercial side of their work. Features may include email integration, deal and task management, financial tracking, invoice generation, media kits, brand and professional contact discovery, community reviews or benchmarks, AI-assisted drafting and analysis, and other productivity tools.

Features may change over time. We may add, remove, modify, test, restrict or discontinue features where reasonably necessary, including for legal, security, product or operational reasons. We do not guarantee that any particular feature will remain available indefinitely.

4. Sola and AI-Powered Features

Sola is Sunday's AI-powered creator-business assistant. Sola may analyse information available within your Sunday workspace and, where you have connected an integration such as Gmail, information made available through that integration in order to provide the functionality you request. Sola may observe information, generate suggestions, prepare internal records and, where enabled, carry out actions on your behalf subject to the permission and confirmation framework below.

4.1 AI outputs and limitations

  • AI-generated outputs may be inaccurate, incomplete, outdated, biased or fabricated. You must review outputs before relying on them.
  • Sola does not provide legal, tax, accounting, medical, investment or other regulated professional advice.
  • Sola does not guarantee that a commercial opportunity, rate recommendation, contract observation, contact, deadline or other output is accurate or appropriate for you.
  • You remain responsible for decisions you make and communications or transactions you enter into using the Services.

4.2 Agentic actions, permissions and confirmation

Sola may perform different types of AI-assisted or agentic activity. Some activity is observational or advisory, such as identifying a potential deal, surfacing a deadline, summarising a communication or recommending a task. Other activity may create or update information within your private Sunday workspace. Sunday may allow you to configure permissions for these internal actions.

External or consequential actions require appropriate authority. Sunday may require your explicit confirmation before Sola sends a communication, accepts or changes contractual terms, issues an invoice, submits information to a third party, initiates a financial action, or takes another action that could materially affect your rights, obligations, finances or external relationships. Where Sunday offers a clearly described auto-action setting, enabling that setting constitutes your instruction for Sola to perform the defined class of actions within the limits shown to you.

You remain responsible for reviewing your permissions and may change or withdraw them through the Services or the relevant third-party integration, subject to technical and legal limitations.

4.3 Safety controls for automated actions

Sunday may pause, block, limit or require additional confirmation for an automated or agentic action where we reasonably believe the action is anomalous, high-risk, inconsistent with your prior instructions or permissions, potentially unlawful, affected by a security issue, or likely to cause material financial, contractual, privacy or reputational harm. These safeguards may apply even where you have enabled an auto-action permission. Sunday is not required to execute an instruction where doing so would violate law, a third-party platform requirement, these Terms, or our security and safety controls.

5. Google Workspace and Gmail Integration

If you choose to connect a Google account, your use of the Google-connected features is subject to the permissions you grant through Google's OAuth consent flow and to Google's applicable terms and policies. Sunday requests only the Google permissions used for the functionality described in the Services and our Privacy Policy.

5.1 Private use of Google-derived information

Sola may process Gmail content and metadata to provide private user-facing functionality to the Google account holder who authorised access. For example, Sola may identify potential or existing deals, extract campaign details, identify a brand or contact involved in a conversation, suggest tasks or deadlines, generate drafts, or create or update records within that user's private Sunday workspace.

Information obtained from Google Workspace APIs, including information derived from that data, is not used to populate, enrich or maintain Sunday's shared brand or contact database and is not made available to other Sunday users through that database merely because it was identified or structured by Sola.

5.2 Contact email addresses

Sunday may display or otherwise process email addresses contained in Gmail where necessary to provide your private Google-connected functionality. Sunday does not automatically transfer Gmail-derived contact email addresses into the shared Sunday contact database.

If a shared Sunday feature allows you to contribute a professional email address or other contact detail, you must provide that information separately through the designated contribution or submission flow. The rules in Section 7 apply to such submissions.

5.3 Google Limited Use

Sunday's use and transfer of information received from Google Workspace APIs will adhere to the Google API Services User Data Policy and applicable Google Workspace API User Data and Developer Policy requirements, including the Limited Use requirements. Additional detail is provided in our Privacy Policy.

6. User Data, Third-Party Information and Private Workspace Data

You may enter, upload, create, save, connect or otherwise provide content and data through the Services, including deal records, financial information, task information, files, prompts, notes and other materials (collectively, "User Data"). Your private Sunday workspace may also contain information that Sunday or Sola processes from connected services in order to provide functionality to you. As between you and Sunday, you retain your rights in User Data that you provide, subject to the rights you grant us below.

You grant Sunday a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, analyse, transmit, display and otherwise use User Data only to the extent reasonably necessary to operate, provide, personalise, secure, maintain and support the Services you use, comply with law, prevent abuse, enforce these Terms and carry out other purposes described in our Privacy Policy. We may use limited, appropriately safeguarded product interaction data to evaluate and improve the Services where permitted by applicable law and our Privacy Policy, but this general licence does not authorise Sunday to use the contents of private communications, contracts, financial records or Google User Data to train or improve generalised or non-personalised AI or machine-learning models. The licence ends when the relevant User Data is deleted from our systems, except to the extent retention is legally required or permitted under our Privacy Policy.

Your User Data may include information relating to third parties, including brands, clients, agencies, collaborators and professional contacts. Where you intentionally enter, upload or submit third-party information to Sunday, you are responsible for ensuring that you have a lawful basis or other appropriate right to provide and use that information through the Services and that your use complies with applicable law and any confidentiality duties that apply to you. This does not mean that you are responsible for independently obtaining consent from every person whose information is incidentally contained in communications processed through a connected service such as Gmail; our processing of information obtained through connected services is governed separately by our Privacy Policy and the terms applicable to those services.

7. Shared Contributions

Certain Sunday features may allow you to voluntarily contribute professional contact information, brand information, deal information, ratings, reviews, market observations or similar information for use beyond your private workspace (collectively, "Shared Contributions"). Shared Contributions are separate from Google-derived data processed within your private Google-connected workspace.

7.1 What you agree to when making a Shared Contribution

  • When you make a Shared Contribution, you are intentionally providing the information directly to Sunday for the shared purpose described at the point of submission. The relevant product interface may explain whether the contribution may be displayed to other users, used to improve shared brand or contact intelligence, or included in aggregated or anonymised benchmarks.
  • You represent that you have a lawful basis or other appropriate right to provide the information and that the use described at the point of submission will not knowingly breach applicable law, another person's rights, or a contractual confidentiality obligation that prohibits that disclosure.
  • You will not submit highly sensitive personal information, private personal correspondence, access credentials, financial account credentials, health information, government identifiers, or information that is clearly unrelated to the professional or business purpose of the feature.
  • Your contribution is accurate to the best of your knowledge and you will not knowingly submit false, misleading, defamatory, fraudulent or unlawfully obtained information.

7.2 Licence for Shared Contributions

To the extent necessary to operate the relevant shared feature, you grant Sunday a worldwide, non-exclusive, royalty-free licence to store, verify, organise, combine, reproduce, display, analyse, aggregate, anonymise and make your Shared Contribution available through the Services, subject to the disclosures presented at the point of contribution and our Privacy Policy.

Where a feature is designed to create aggregated market insights or benchmarks, Sunday may aggregate or anonymise eligible Shared Contributions to generate those insights. Google User Data is not automatically converted into a Shared Contribution merely because Sola identifies, structures or displays it within your private workspace. If you choose to make a Shared Contribution, the information must be submitted separately and intentionally through the designated contribution flow, in accordance with the disclosures presented to you and our Privacy Policy.

7.3 Moderation, correction and removal

Sunday may review, verify, correct, limit, remove or decline to publish Shared Contributions where we reasonably believe they are inaccurate, unlawful, abusive, duplicative, confidential, inconsistent with the purpose of the feature, or otherwise inappropriate. We do not undertake to verify every contribution.

7.4 Rights of people identified in Shared Contributions

If a Shared Contribution contains professional information about another identifiable person, that person may have rights under applicable privacy law, including rights to request access, correction, deletion, restriction or objection. Sunday may contact contributors or other appropriate sources to verify a record and may correct, suppress or remove information where required by law, where a valid objection applies, or where we otherwise determine that continued publication is inappropriate. Requests may be submitted using the privacy contact details in our Privacy Policy.

Where applicable law requires Sunday to provide privacy information directly to a person whose professional information we obtained indirectly, we may provide that notice through reasonable means, subject to any lawful exception. A contributor may not prevent Sunday from honouring another person's valid privacy rights.

8. Sunday Brand and Contact Database

Sunday may provide access to a shared database of brands and professional contacts. Information in the database may be obtained from independent professional data providers, licensed enrichment services, direct brand submissions, publicly available professional sources where appropriate, Sunday research and direct user contributions made through designated Shared Contribution features. Google-derived information is not used to populate or enrich this shared database.

The shared database is informational. Professional roles, employers and contact details change frequently. We do not guarantee that any contact is current, accurate, willing to receive communications, authorised to represent a brand, or appropriate for your intended outreach.

Your use of contact information is your responsibility. You must comply with applicable marketing, privacy, anti-spam, electronic communications and other laws when contacting a person identified through the Services. Sunday does not guarantee that a listed contact has consented to receive every form of outreach. Access to professional contact data does not itself create a legal basis for any particular communication; you are responsible for determining whether and how you may lawfully contact that person.

8.1 Restrictions on database use

  • You may use database information for your own legitimate professional and creator-business purposes within the scope of your subscription.
  • You may not scrape, systematically export, reproduce, mirror, republish, sell, sublicense or create a competing database from Sunday's shared database, except where Sunday expressly permits a specific export or use.
  • You may not use database information for harassment, unlawful discrimination, fraud, spam, phishing or other unlawful or abusive activity.
  • Access limits, export limits and anti-abuse controls may apply.

8.2 Accuracy, correction and removal of professional contact records

  • A person identified in the shared database may contact Sunday to request that we review, correct, suppress or remove professional information associated with them. We may require reasonable verification before acting on a request and may retain limited information where necessary to document an objection, prevent re-publication, comply with law or establish, exercise or defend legal claims.
  • Sunday may suspend, modify or remove access to particular database fields, records, exports or sources if required by law or by the licence terms of a data provider. Nothing in these Terms grants you rights to third-party-sourced information beyond the rights Sunday is permitted to provide under the applicable source or provider licence.

9. Third-Party Data Providers and Integrations

Certain features may rely on information, infrastructure or services supplied by third parties, including professional data and enrichment providers, email providers, payment processors, AI providers and other integrations. Third-party services may be subject to their own terms, licence restrictions and privacy policies. Sunday's right to display, distribute, permit export of or otherwise make third-party-sourced information available through the Services is strictly limited by the rights granted to Sunday by the applicable provider or source. If a provider changes, suspends or withdraws those rights, Sunday may modify or remove affected data or functionality without liability except where applicable law requires otherwise.

Sunday does not control third-party services and is not responsible for their availability, accuracy, security practices or acts and omissions, except to the extent responsibility cannot lawfully be excluded. We may add, replace or discontinue third-party providers where reasonably necessary.

10. Financial Tracking, Invoices and Deal Information

Sunday may allow you to record deal values, income, invoices, payment status and other financial information. These tools are provided for organisation and productivity purposes only.

  • Sunday is not a bank, payment institution, money services business, accountant, tax adviser or financial adviser merely because it provides these features.
  • Unless Sunday expressly introduces a regulated payment feature under separate terms, payments between you and brands or other third parties take place outside Sunday.
  • You are responsible for the accuracy of invoices, tax information, payment instructions and financial records you create through the Services.
  • Shared deal-value or rate benchmarking features, where offered, may be based on eligible user-submitted or independently sourced information and are estimates only.

11. Subscriptions, Fees and Payment

Some Services may be free and others may require a paid subscription, credits or other fees. Before you purchase a paid plan, we will display the material commercial terms applicable to that purchase, including the price, billing frequency, whether the plan renews automatically, the principal included features or limits, and the method by which you can cancel, together with any additional information required by applicable law.

11.1 Recurring subscriptions

If you purchase a recurring subscription, you expressly authorise Sunday and its payment processor to charge the applicable subscription fee and taxes at the beginning of each billing period until you cancel. Unless otherwise stated at purchase, subscriptions renew automatically for successive periods of the same length. We will obtain any affirmative consent to recurring charges required by applicable law and will provide renewal, reminder or other notices where legally required.

You may cancel through your account settings or another simple online cancellation method we make available. We will not require you to use a cancellation method that is materially more burdensome than the method used to subscribe where applicable law prohibits that practice. Cancellation prevents future renewal charges but does not ordinarily generate a refund for a billing period that has already begun, except where required by law or expressly stated otherwise. Any statutory cooling-off, cancellation, refund or renewal rights available in your jurisdiction remain unaffected.

11.2 Taxes and price changes

Fees are exclusive of taxes unless stated otherwise. You are responsible for applicable taxes, duties and similar charges except taxes based on Sunday's net income. We may change prices prospectively by providing notice where required by law. If you do not agree to a price increase, you may cancel before the increase takes effect.

11.3 Trials and promotional access

Trials, credits, beta access, discounts or promotional offers may be subject to additional conditions disclosed when you enrol. If a free or discounted trial will automatically convert into a paid recurring subscription, we will disclose the conversion terms, price and billing frequency before enrolment and obtain any consent required by applicable law. We may end or modify a promotion where permitted by law, but will not retroactively alter amounts already paid or benefits already earned unless necessary to correct fraud or error.

12. Acceptable Use

You must use Sunday lawfully and in a manner consistent with the purpose of the Services. You must not:

  • access or use the Services in violation of applicable law or another person's rights;
  • use the Services to send unlawful spam, phishing, malware, fraudulent solicitations, threats, harassment or abusive communications;
  • upload or submit content that you know is unlawfully obtained, infringing, defamatory or subject to confidentiality restrictions that prohibit the proposed use;
  • attempt to gain unauthorised access to accounts, systems, networks, source code, models or data;
  • circumvent usage limits, access controls, security measures or technical restrictions;
  • reverse engineer, decompile or attempt to derive source code, model weights or non-public underlying components except to the extent such restriction is prohibited by law;
  • scrape, harvest or systematically extract the shared database or other Services except through functionality Sunday expressly makes available for that purpose;
  • use automated means to create accounts or overload, disrupt or degrade the Services;
  • use the Services or outputs to violate sanctions, export controls or other applicable trade restrictions.

13. Intellectual Property and Feedback

Sunday and its licensors own the Services, including software, interfaces, designs, trademarks, databases, compilations, documentation and other materials, excluding User Content and third-party materials. Subject to these Terms and payment of applicable fees, Sunday grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your own lawful business or professional purposes.

If you provide ideas, suggestions or feedback about Sunday, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation, provided this does not give us ownership of your User Content or Google User Data.

14. Confidentiality and Privacy

Our handling of personal information is described in the Sunday Privacy Policy, which forms part of the contractual framework governing the Services. These Terms do not reduce any rights you have under applicable data protection law.

You are responsible for respecting confidentiality obligations you owe to brands, agencies, clients and other third parties when using Sunday. Do not intentionally submit confidential or restricted information to a shared feature where you are not authorised to disclose it.

Where Sunday processes professional information about individuals who are not registered users, including information contained in the shared brand and contact database, Sunday will handle that information in accordance with the Privacy Policy and applicable data protection law. Where we rely on legitimate interests, we will assess and document those interests where required and provide applicable rights, including rights to object, correct or request deletion, subject to lawful exceptions.

15. Beta, Early-Access and Experimental Features

We may make beta, early-access, experimental or preview features available. Such features may be incomplete, change substantially, contain errors or be discontinued. We may impose additional terms or usage limits. You should not rely on beta features for critical or irreversible activity without an independent backup or verification process.

16. Suspension and Termination

You may stop using the Services at any time and may close your account through the available account controls or by contacting us.

We may suspend or terminate access where reasonably necessary, including if you materially breach these Terms, fail to pay amounts due, create security or legal risk, misuse shared data, infringe rights, engage in fraud or abuse, or where continued provision of the Services would violate law or a third-party platform requirement. Where practicable and lawful, we will provide notice and an opportunity to remedy a remediable breach.

On termination, your right to use the Services ends. Provisions that by their nature should survive termination – including intellectual property, payment obligations accrued before termination, disclaimers, limitations of liability, indemnity and dispute provisions – will survive.

17. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available." Sunday disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement and quiet enjoyment, except where such warranties cannot lawfully be excluded.

We do not warrant that the Services will be uninterrupted, error-free or secure, or that AI outputs, contact information, benchmarks, rates, deal information, third-party data or other content will be accurate, complete, current or suitable for your circumstances.

Nothing in these Terms excludes statutory guarantees or consumer rights that cannot lawfully be excluded or limited.

18. Limitation of Liability

To the maximum extent permitted by law, Sunday and its officers, directors, employees and affiliates will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for loss of profits, revenue, business, opportunity, goodwill or data, arising out of or relating to the Services, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Sunday's total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amounts you paid to Sunday for the Services during the 12 months immediately before the event giving rise to the claim or (b) US $100.

The limitations above do not apply to liability that cannot legally be excluded or limited, including where applicable liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence, or mandatory consumer rights.

19. Indemnity

To the extent permitted by law, if you use the Services for business or professional purposes, you will indemnify and hold harmless Sunday and its officers, directors, employees and affiliates from third-party claims, losses, liabilities and reasonable legal costs arising from: (a) your material breach of these Terms; (b) Shared Contributions or other content you knowingly submit in violation of another person's rights or applicable law; or (c) your unlawful or abusive use of the Services. This obligation does not apply to the extent a claim was caused by Sunday's own breach, negligence or wilful misconduct.

20. Copyright and Intellectual Property Complaints

If you believe material available through the Services infringes your intellectual property rights, please contact admin@withsunday.io with sufficient information to identify the work, the allegedly infringing material, your contact details and the basis of your complaint. We may remove or restrict access to material where appropriate and may request additional information.

21. Changes to the Services or These Terms

We may update these Terms to reflect changes to the Services, law, security requirements or our business practices. If a change is material, we will provide reasonable advance notice where practicable and legally required. The updated Terms will identify their effective date.

If you do not agree to a material change, you may stop using the Services and cancel any affected subscription before the change takes effect. Continued use after the effective date constitutes acceptance to the extent permitted by law.

22. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles, except that mandatory consumer protection laws of your country or state of residence continue to apply where they cannot lawfully be waived.

Before filing a formal claim, you and Sunday agree to make reasonable efforts to resolve the dispute informally by providing written notice describing the issue and requested resolution. If a dispute cannot be resolved informally, the state and federal courts located in Delaware will have jurisdiction, except where applicable law gives you the right to bring proceedings in another court or forum.

23. General Terms

  • Entire agreement. These Terms, the Privacy Policy, any applicable order or subscription terms, and any additional terms expressly incorporated by reference constitute the agreement between you and Sunday regarding the Services.
  • Order of precedence. If specific feature, enterprise, beta or order terms conflict with these Terms, the more specific terms control for that feature or transaction.
  • Assignment. You may not assign these Terms without Sunday's prior written consent. Sunday may assign these Terms in connection with a merger, acquisition, reorganisation, financing or sale of all or substantially all of its business or assets, or to an affiliate, subject to applicable law.
  • No waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
  • Severability. If a provision is held invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect.
  • No partnership or agency. These Terms do not create a partnership, employment relationship, fiduciary relationship, joint venture or legal agency relationship between you and Sunday. Sola's product name or functionality does not mean that Sunday is appointed as your legal, talent or commercial agent.
  • Force majeure. Sunday will not be liable for delay or failure caused by circumstances beyond its reasonable control, subject to rights that cannot lawfully be excluded.
  • Electronic communications. You agree that notices and agreements may be provided electronically where permitted by law.
